Partner Terms & Conditions
1. Introduction
These Terms & Conditions set out the basis on which Architectural Partner Network Limited, a company registered in England and Wales, provides partner membership, territory allocation, referral opportunities and associated services to approved contractors, consultants, suppliers and professional service providers.
Architectural Partner Network Limited may be referred to in these Terms as “APN”, “we”, “us” or “our”
By applying for, purchasing or continuing an APN partner package, the Partner agrees to be bound by these Terms & Conditions.
APN is an architect-led referral network connected with active residential design, planning, refurbishment and construction-related projects. APN is not a generic lead-generation company, advertising directory or guaranteed lead-volume service.
2. Definitions
APN means Architectural Partner Network Limited, trading as Architectural Partner Network, Architectural Partners Network or APN as applicable.
Partner means the contractor, consultant, supplier or business accepted by APN into the network.
Client means a homeowner, property owner, landlord, developer or other person who may require services connected with a residential or construction-related project.
Referral Opportunity means an introduction, signpost, enquiry or recommendation made by APN to a Partner where APN considers there may be a relevant service and territory match.
Territory means the agreed geographic area allocated to the Partner for a particular service category.
Service Category means the trade, consultancy or professional service area for which the Partner has been accepted.
Partner Package means the membership, territory, category or promotional package purchased or agreed by the Partner.
3. Nature of APN
APN provides a structured partner network through which selected businesses may receive referral opportunities arising from active architectural, planning, refurbishment or construction-related conversations.
APN does not guarantee:
a fixed number of referrals;
that any referral will convert into paid work;
that any Client will proceed with a Partner;
that any Client is financially able or ready to instruct;
or that the Partner will recover its membership fee through future work.
APN provides positioning, category inclusion, territory access and referral opportunity only.
4. Partner Membership
Partner membership is subject to acceptance by APN.
APN may refuse, suspend or terminate membership where it considers that a Partner is unsuitable, unresponsive, commercially inappropriate, reputationally risky, or no longer aligned with the standards expected of the network.
APN may request information from a Partner before acceptance, including company details, insurance details, website, examples of work, qualifications, trading history, reviews or other relevant information.
The Partner confirms that all information supplied to APN is accurate and not misleading.
5. Territory Allocation
Partners may be allocated a territory for a specific service category.
Territories may be based on London boroughs, borough clusters, towns, districts, counties, county clusters, postcode areas or other agreed geographic areas.
Territory allocation is specific to the Partner’s agreed service category and does not create general exclusivity across all APN categories.
Once a Partner has secured a territory for a specific category, APN will not actively appoint another directly competing Partner for the same category in the same territory during the active membership period, unless otherwise agreed in writing.
APN reserves the right to determine the final structure of territories and may revise territory boundaries for operational, commercial or practical reasons.
6. Referral Opportunities
Where APN becomes aware of a potential Client requirement that appears relevant to a Partner’s category and territory, APN may introduce, signpost or refer the Client to the Partner.
APN is not obliged to refer every possible opportunity to a Partner.
APN may decide not to make a referral where it considers the Client requirement unsuitable, unclear, outside scope, commercially inappropriate or better suited to another route.
APN may also decline to refer where the Partner is unresponsive, unavailable, has failed to maintain membership payments, or has caused concern regarding service, conduct or reputation.
7. No Guarantee of Results
The Partner acknowledges that APN membership is a marketing and referral-positioning opportunity, not a guaranteed income scheme.
Referral volumes may vary depending on market demand, territory, service category, seasonality, planning activity, client behaviour, economic conditions and APN’s own project flow.
The Partner remains responsible for converting any referral opportunity into a paid instruction.
APN is not responsible for the Partner’s pricing, communication, sales process, quotation, availability, contract terms, workmanship, professional advice or service delivery.
8. Partner Responsibilities
The Partner agrees to:
respond promptly and professionally to referrals;
deal honestly and fairly with Clients;
provide clear quotations and terms to Clients;
hold appropriate insurance, licences, qualifications or registrations where required;
comply with all laws, regulations and professional obligations relevant to its services;
avoid misleading claims about its relationship with APN;
protect APN’s reputation;
and notify APN of any complaint, dispute or serious issue arising from an APN referral.
The Partner must not describe itself as employed by APN, owned by APN, guaranteed by APN or formally endorsed beyond the agreed partner relationship.
9. Fees and Payment
Partner fees are payable in accordance with the selected package, invoice, order form, direct debit mandate or written agreement.
Fees may be monthly, annual, fixed-term or otherwise agreed.
Unless stated otherwise, fees are payable in advance and are non-refundable once the membership period has started.
Failure to maintain payment may result in suspension or termination of membership and loss of territory allocation.
APN may amend future fees by giving reasonable notice to the Partner.
10. Direct Debit and Recurring Payments
Where the Partner pays by direct debit or recurring payment, the Partner authorises APN or its payment provider to collect payments in accordance with the agreed payment schedule.
The Partner must ensure that payment details remain valid and that sufficient funds are available.
Cancelled, failed or disputed payments may result in suspension of membership and withdrawal of territory coverage.
11. Cancellation
The Partner may cancel membership in accordance with the cancellation period stated in the order form, invoice or written agreement.
Where no specific cancellation period is stated, monthly memberships may be cancelled by giving at least 30 days’ written notice.
Annual or fixed-term memberships continue until the end of the agreed term unless APN agrees otherwise in writing.
Cancellation does not remove liability for fees already due.
12. Refunds
Membership fees are payable for access to APN positioning, category inclusion, territory allocation and referral opportunity.
Fees are not dependent on the number of referrals received or the value of work won.
Refunds will not normally be provided because a Partner receives fewer referrals than expected, fails to convert referrals, changes its mind, becomes unavailable, or no longer wishes to participate.
13. Client Relationship
Any contract for services is between the Partner and the Client directly.
APN is not a party to the Partner’s contract with the Client unless expressly agreed in writing.
The Partner is responsible for its own appointments, terms, scope, fees, deposits, delivery, professional standards, workmanship, aftercare, complaints and disputes.
APN does not guarantee the Client’s suitability, solvency, seriousness, budget, project readiness or decision to proceed.
14. Complaints and Conduct
APN may investigate complaints or concerns raised by Clients, other partners or third parties.
APN may suspend or remove a Partner from the network where it considers that the Partner has acted dishonestly, unprofessionally, aggressively, negligently, unlawfully or in a way that may damage APN’s reputation.
APN’s decision to suspend or remove a Partner may be made at its reasonable discretion.
15. Use of APN Name and Branding
The Partner may refer to itself as an APN Partner only while its membership remains active and in good standing.
The Partner must not use APN branding, logos, website content or marketing materials without written permission.
The Partner must not imply that APN guarantees, certifies, insures, supervises or takes responsibility for the Partner’s services.
Upon termination of membership, the Partner must stop using APN names, marks and partner references.
16. Data Protection
Where APN shares Client contact details or project information with a Partner, both parties must comply with applicable data protection law.
The Partner must use Client information only for the purpose of responding to the relevant referral opportunity and must not use it for unrelated marketing, resale, database building or third-party sharing without a lawful basis.
The Partner must keep Client information secure and must notify APN promptly of any data breach involving an APN referral.
Depending on the circumstances, APN and the Partner may each act as independent data controllers for their own handling of Client data. The ICO explains that controllers determine the purposes and means of processing and must be able to demonstrate UK GDPR compliance.
17. Confidentiality
The Partner must keep confidential any non-public information received from APN or a Client, including project details, contact information, commercial arrangements, pricing, referral processes and network information.
This obligation continues after membership ends.
18. Website Content and Listings
APN may create, edit, publish or remove Partner profiles, category listings, territory information or related content at its discretion.
APN may request information, images, descriptions, credentials or examples of work from the Partner.
The Partner confirms that any content supplied to APN is accurate, lawful and does not infringe any third-party rights.
APN may amend supplied content for clarity, presentation, SEO, legal compliance or brand consistency.
19. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to the above, APN shall not be liable for:
loss of profit;
loss of business;
loss of contract;
loss of anticipated savings;
loss of goodwill;
indirect or consequential loss;
or any failure by a Client to proceed with a Partner.
APN’s total liability to the Partner arising out of or in connection with the membership shall be limited to the fees paid by the Partner to APN during the previous three months, unless otherwise agreed in writing.
20. Changes to the Network
APN is a developing network and may change its website, categories, territories, referral process, packages, pricing, partner criteria or operational structure from time to time.
APN will act reasonably when making changes that materially affect an active Partner’s agreed package.
21. Termination by APN
APN may terminate membership immediately if the Partner:
fails to pay fees when due;
provides false or misleading information;
misuses Client data;
acts unlawfully or unprofessionally;
damages or risks damaging APN’s reputation;
breaches these Terms;
or becomes unsuitable for continued membership.
Termination does not affect fees already due.
22. Force Majeure
APN shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including website outages, hosting failures, cyber incidents, illness, market disruption, legal changes, payment provider failures or other events outside APN’s control.
23. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction in relation to any dispute arising from these Terms.
